


Bylaws

Catawba County, North Carolina
September 9, 2021
Article I: Name
The name of this organization shall be:
"Catawba County Federation of Republican Men"
Hereinafter referred to as "Federation"
Article II: Objectives
The objectives of the FEDERATION shall be:

To increase the effectiveness of The Catawba County Republican Party in the cause of good government through active and informed participation in the political process.

2. To contribute to and support the aims and objectives of the Catawba County Republican Party.
Article III: Membership
1. There shall be Four (4) classes of membership: regular, associate, honorary, and ex officio
​

Regular membership shall be open to any man registered to vote as a Republican in Catawba County, North Carolina, or adjacent counties to Catawba (Alexander, Burke, Caldwell, Iredell, and Lincoln). Regular members shall pay annual dues and may vote and hold office.

Associate members must pay dues but may not vote or hold office. Republican women are eligible to become Associate Members.

Honorary members do not pay dues and may not vote or hold office. Honorary membership may be awarded annually by the Executive Committee to any Republican not eligible for regular membership who has made an exceptional contribution to or impact in local, state, or national politics. This membership term may be as long as designated by the Executive Committee.

Non-voting ex officio members shall be extended to the sitting chairperson of the Catawba County Republican party, unless he/she is a regular member, and to the sitting Presidents of Republican Federations of Catawba County.

2. Membership in the Federation may be revoked for cause by a vote of at least four (4) members of the Executive Committee. Cause is defined as gross inefficiency, party disloyalty, willful and knowing violation of these bylaws to the detriment of the Federation, a conviction of a felony or a crime of moral turpitude, or other acts or omissions that bring disrepute or dishonor on the Republican party or this federation. Members may request revocation of the membership of any member by submitting in writing to the Executive Committee such request stating the cause and the particulars and shall be signed by not less than fifteen (15) regular members in good standing.
3. Dues must be paid current for a Federation member to vote on any issue. To vote in the election of Federation officers a member's dues must have been paid for the current year on or before six months preceding the election.
Article IV: Finances and Dues
1. Regular and Associate members shall pay annual dues in an amount set by the Executive Committee. Dues for the calendar year are payable on or before January 31st.

2. The Executive Committee may set a reduced amount of dues for the remainder of the first calendar year for regular and associate members who, for the first time, join the federation on or after July 1st. Dues collected from founding members in 2019 shall count toward 2020 dues and membership.

3. The Federation may raise funds by any legal and appropriate method approved by the Executive Committee. Funds shall be disbursed with the consent of the Executive Committee as recorded in that committee's minutes or by the membership during a regular meeting as recorded in the Federation minutes.
Article V: Meetings
1. Regular meetings shall be held monthly at a time and place convenient to the members and announced at the prior meeting or by email more than five (5) business days prior to the meeting.

2. The Executive Committee may suspend regular meetings during July and December.
​
3. Special meetings may be ball by the President when necessary.
4. The Executive Committee shall meet monthly and at the call of the President on an as-needed basis.
​
5. A quorum for any regular or special meeting shall be eight (8) regular members. A quorum for any Executive Committee meeting shall be any three (3) committee members.

6. Meetings shall be conducted in accordance with Robert's Rules of Order
Article VI: Executive Committee
1. The Executive Committee shall consist of seven (7) voting members: The President, Vice President, Secretary, Treasurer, two Directors, and the most recent past President willing to serve. If no past President is willing to serve, a third Director will be elected by the membership.

2. The Executive Committee shall conduct the routine business and develop the annual goals for the Federation.
​
3. Officers and directors shall be elected as defined in Article VII. Officers and Directors may serve consecutive terms in the same office.
1). The President Shall:
a. Preside at all regular, special, and Executive Committee meetings.
​
b. Appoint standing committees and ad hoc committees as required.
​
c. Sign checks in the absence of the Treasurer.
​
d. Serve as ex officio member of all committees except the nominating committee.
​
e. Propose annual goals to the Executive Committee and monitor progress toward achieving those goals.
​
f. Supervise and coordinate the activities of the Federation and committees.
​
g. Cast the tie-breaking vote in any regular, special, or Executive Committee meeting.
​
h. Appoint an Acting Secretary or an Acting Treasurer as needed.
​
2). The Vice President Shall:
a. Perform the duties of the President in his absence.
​
b. Arrange for meeting places.
​
c. Sign checks in the absence of the Treasurer and the President.
​
d. Perform such other duties as may be requested.
3). The Secretary Shall:
a. Record, transcribe, distribute, and maintain a file of approved minutes of all meetings. Minutes of regular meetings shall include a copy of the latest financial statement.

b. Count votes and ballots at meetings.
​
c. Verify the presence of a quorum at meetings.
​
d. Keep an attendance record at meetings.
​
e. Maintain and publish a current list of members.
​
f. Maintain a file of the Federation's records, other than financial records.
​
g. Prepare and dispatch correspondence as requested.
​
h. Prepare and distribute notices of meetings.
​
i. Provide copies of the bylaws and policies to new members.
​
j. Perform such other duties as may be requested.
​
4). The Treasurer Shall:
a. Collect, safeguard, and deposit the Federation's funds.
​
b. Prepare. and sign checks for authorized expenditures.
​
c. Prepare and present the written financial statement at meetings.
​
d. Prepare and keep a voucher for each expenditure.
​
e. Maintain the financial records of the Federation.
​
f. Make the financial records available to, and cooperate with, any person or committee designated to review or audit those records.
​
g. Prepare in the month of December an invoice for all paying members which shall be mailed or emailed on the first business day of the following year by the outgoing Treasurer. The incoming Treasurer shall send notice of unpaid dues to delinquent members.
​
h. Furnish to the Secretary the names of persons who have paid dues.
​
i. Perform such other duties as may be requested.
5). Directors Shall:
a. Act as members of the Executive Committee.
​
b. Perform duties as may be requested.
​
c. There shall be three Directors.
Article VII: Elections
1. Officers and Directors shall serve for a term of two (2) years beginning Janurary 1 of each odd numbered year.
​
2. A ticket of nomintaions for elective office shall be presented by the nominating committee at the regular meeting in October of even numbered years. Nominations may be made. from the floor at the October and November meetings. Nominations require the prior consent of the nominee.
​
3. All nominations shall be published by the Secretary in the notice for the November meeting.
​
4. Officers and Directors shall be elected at the regular meeting in November of even numbered years.
​
5. Vacancies occuring on the Executive Committee shall be filled by appointment of the Executive Committee. The person appointed to fill a vacancy shalll serve the remaining term of the office.
​
6. Proxy and absentee voting shall not be allowed except as otherwise permitted herein.
​
7. The nominee for any office receiving the most votes shall be the winner. In the event of a tie, the winner shall be determined by the flip of a coin.
Article VI: Executive Committee
Standing Committees:

1. Program and Publicity:
​
a. Arranges for speakers and programs.
​
b. Prepares notices and articles for submission to print and electronic media.
​
c. Arranges and staffs' tables and/or booths at festivals and like public gatherings.
​
2. Membership:
​
a. Develops and recommends to the Executive Committee strategies to attract new members and to retain current members.
​
b. Delivers to new members a new member packer prepared in coordination with the Secretary.
​
c. Develops and implements a mentoring system for new mmbers for at least the first three (3) meetings they attend.
​
3. Special Events
​
a. Researches and recommends to the Executive Committee fund raising events.
​
b. Coodinates and supervise approved fund raising activities.
​
c. Ad hoc committees may be appointed by the President at his discretion.
​
Article IX: Amendments
1. These bylaws may be amended by a majority vote of regular members at any regular meeting provided the notice shall be given to members of the proposed changes at least fourteen (14) days prior to the meeting. This notice shall be sufficient if sent to the members last known mailing address or by email to the members last know email address.

2. Approved changes shall take effect immediately and shall be distributed in writing to all members within thirty (30) days after approval.
​
3. The Secretary shall provide to all new members a copy of these bylaws, as amended, on receipt of notice that they have paid their dues.
Article X: Severability
If any provision or provisions of these bylaws is held to be invalid or unenforceable for any reason, these bylaws shall be interpreted and enforced as if such provision or provisions were not contained herein, the provisions of these bylaws being serveable in any such instance.
Article XI: Dissolution
1. The Federation may be dissolved by a two-thirds vote of all regular members, provided that written notice of the intent to dissolve the Federation shall have been given to all members at least fourteen (14) days in advance. Written proxies shall be acceptable for members who are unable to attend the dissolution meeting.

2. Upon dissolution, the Executive Committee shall supervise the process of disposing of the Federation's assets.
​
3. Within thirty (30) days of an affirmative vote to dissove the Federation, all assets of the Federation, including all records, funds, and real and personal property, if any, shall be turned over to the shiairperson of the Catawba County Republican Party and a receipt obtained as a result.
​
4. In the event of dissolution, all persons who were members at the time of the vote will be notified in writng within thirty (30) days detailing the nature, amount or value, and final disposition of the Federation's assets.

Certifications
The undersigned certify that these bylaws were approved by an affirmative vote of a majority of members present and in good standing at the regular meeting on September 9, 2021.
